These Terms of Service ("Terms") govern your access to and use of the WangYan platform, including the website, applications, APIs, and related services (collectively, the "Service") operated by WangYan ("we," "us," or "our").
By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 16 years old to use the Service. By using the Service, you represent that you meet this requirement and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.
2. Account Registration
- You must provide accurate and complete information when creating an account.
- You are responsible for safeguarding your account credentials and for all activity under your account.
- You must notify us immediately of any unauthorized access to your account.
- We reserve the right to suspend or terminate accounts that violate these Terms.
3. Service Description
WangYan provides AI-powered communication tools, including but not limited to:
- Real-time voice translation for phone calls.
- AI voice agents for automated outbound and inbound calling.
- Call recording, transcription, and analytics.
- Integration with third-party telephony providers.
The Service relies on third-party AI models and telephony infrastructure. We do not guarantee uninterrupted availability or error-free operation.
4. Acceptable Use
You agree NOT to use the Service to:
- Violate any applicable law, regulation, or third-party rights.
- Make harassing, threatening, or fraudulent calls.
- Transmit malware, spam, or unsolicited communications.
- Impersonate any person or entity.
- Attempt to gain unauthorized access to the Service or its infrastructure.
- Use the Service for illegal telemarketing or in violation of Do-Not-Call regulations.
- Reverse engineer, decompile, or disassemble any part of the Service.
- Resell or redistribute the Service without our written consent.
We reserve the right to suspend or terminate your access immediately if we determine, in our sole discretion, that you have violated these restrictions.
5. Payment and Billing
- The Service offers both free and paid tiers. Paid features require purchasing credits or subscribing to a plan.
- All prices are listed in USD unless otherwise stated.
- Payments are processed through Stripe. By providing payment information, you authorize us to charge the applicable fees.
- Credits are non-transferable and expire according to the terms of your plan.
- We reserve the right to change pricing with 30 days' notice. Existing prepaid credits will be honored at the original rate.
6. Refund Policy
- Unused credits may be refunded within 7 days of purchase if no calls have been made.
- Once credits have been consumed (calls made, minutes used), they are non-refundable.
- Subscription fees are non-refundable for the current billing period.
- Refund requests should be sent to support@jiang.gs.
7. Intellectual Property
- The Service, including its design, code, AI models, and documentation, is owned by WangYan and protected by intellectual property laws.
- You retain ownership of content you upload (prompts, contact lists, configurations).
- By using the Service, you grant us a limited license to process your content solely for the purpose of providing the Service.
- You may not use our trademarks, logos, or branding without prior written consent.
8. Call Recording and Compliance
- You are solely responsible for complying with all applicable call recording laws in your jurisdiction and the jurisdiction of the call recipient.
- Many jurisdictions require consent from one or all parties before recording a call. It is your responsibility to obtain necessary consent.
- We provide the recording feature as a tool; we do not provide legal advice on its use.
- You agree to indemnify us against any claims arising from your use of the recording feature.
9. Service Availability and SLA
- We strive for high availability but do not guarantee 100% uptime.
- The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.
- We are not liable for any losses resulting from Service downtime or interruptions.
- Third-party service outages (telephony providers, AI model providers, cloud infrastructure) may affect Service availability.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied.
- We do not warrant that AI-generated translations or responses will be accurate, complete, or error-free.
- In no event shall WangYan be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
- Our total liability for any claim arising from the Service shall not exceed the amount you paid us in the 12 months preceding the claim.
11. Indemnification
You agree to indemnify, defend, and hold harmless WangYan and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from:
- Your use of the Service.
- Your violation of these Terms.
- Your violation of any applicable law or third-party rights.
- Content you upload or transmit through the Service.
12. Termination
- You may close your account at any time through account settings or by contacting support.
- We may suspend or terminate your account immediately for violation of these Terms, non-payment, or at our discretion with 30 days' notice.
- Upon termination, your right to use the Service ceases immediately. We may delete your data 30 days after account closure.
- Sections regarding intellectual property, limitation of liability, indemnification, and governing law survive termination.
13. Governing Law and Disputes
- These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.
- Any disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
- You waive any right to participate in class action lawsuits or class-wide arbitration.
14. Changes to These Terms
We may modify these Terms at any time. Material changes will be communicated via email or a notice on the Service at least 14 days before taking effect. Continued use after the effective date constitutes acceptance of the revised Terms. If you disagree with the changes, you must stop using the Service and close your account.
15. Miscellaneous
- Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and WangYan.
- Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
- Waiver: Failure to enforce any provision does not constitute a waiver of that provision.
- Assignment: You may not assign your rights under these Terms without our consent. We may assign our rights freely.
